A project or client relationship begins only after Bold Array and the client enter into an applicable written agreement.

  • maintenance agreements;
  • marketing agreements;
  • consulting agreements; or
  • other written agreements.

If there is a conflict between these Terms and a separately executed agreement governing services provided to a client, the separately executed agreement will control with respect to those services.

However, descriptions appearing on our website are provided for general informational purposes and do not constitute a guarantee, warranty, or binding commitment regarding:

Final pricing, deliverables, schedules, payment requirements, responsibilities, and project terms will be established through the applicable written agreement.

Unless otherwise stated in a proposal, Bold Array may revise or withdraw a proposal before it has been accepted.

7. Client Responsibilities

Where services are provided under a separate agreement, clients may be responsible for providing information, materials, approvals, credentials, access, decisions, content, and other resources reasonably necessary for Bold Array to perform the agreed services.

Project schedules and deliverables may depend upon timely client cooperation.

Specific client responsibilities will be established in the applicable agreement.

8. Intellectual Property

Unless otherwise stated, Bold Array owns or licenses the intellectual property appearing on our website, including:

  • graphics;
  • designs;
  • layouts;

  • illustrations;
  • animations;
  • videos;
  • software;
  • source code;
  • scripts;

By providing materials to Bold Array, you represent that you have the necessary rights, licenses, permissions, and authority to provide and authorize use of those materials for the intended project.

You remain responsible for ensuring that materials you provide do not infringe the intellectual property, privacy, publicity, contractual, or other legal rights of third parties.

10. Portfolio and Promotional Use

Bold Array may display publicly available examples of its work, portfolio projects, client names, screenshots, project descriptions, awards, or case studies where permitted by the applicable client agreement or other authorization.

Third-party names, logos, trademarks, and materials remain the property of their respective owners.

Portfolio examples and case studies are intended to demonstrate prior experience and do not guarantee identical or similar results for future clients.

11. Third-Party Services

Bold Array services may involve third-party products, platforms, software, APIs, hosting providers, cloud services, analytics tools, search engines, advertising platforms, social media platforms, artificial intelligence systems, or other technologies.

These third-party services may include providers such as Google, Microsoft, Meta, LinkedIn, OpenAI, Amazon Web Services, Apple, and others.

Third-party services are controlled by their respective providers and may be subject to:

  • separate terms;
  • privacy policies;
  • licensing requirements;
  • fees;
  • service limitations;
  • usage restrictions;
  • API limitations;
  • platform policies; and
  • availability requirements.

Bold Array is not responsible for changes, interruptions, limitations, pricing changes, policy changes, or discontinuation of third-party services outside our control.

12. Search Engine Optimization and Search Marketing

SEO, SEM, GEO, online marketing, advertising, and related services involve third-party platforms and systems that Bold Array does not control.

We cannot guarantee:

  • advertising placement;

Bold Array does not control the models, training data, retrieval systems, ranking systems, outputs, citations, or policies used by third-party artificial intelligence platforms.

Accordingly, GEO services do not guarantee that a particular company, website, product, or piece of content will appear in an AI-generated answer or receive a specific placement or citation.

14. Artificial Intelligence

Bold Array may design, develop, integrate, evaluate, or use artificial intelligence and machine-learning technologies.

AI systems may produce:

  • inaccurate information;
  • incomplete information;
  • outdated information;
  • hallucinated information;
  • inconsistent results;
  • biased results; or
  • unexpected outputs.

AI-generated information should be reviewed before being relied upon for material business decisions.

Unless expressly agreed otherwise, Bold Array does not guarantee the accuracy, uniqueness, reliability, availability, or suitability of outputs generated by third-party AI systems.

AI-generated information should not be relied upon as legal, financial, medical, regulatory, tax, or other licensed professional advice.

15. Software Development and Technology

Software development and technology services may involve complex systems, dependencies, operating environments, browsers, devices, libraries, APIs, frameworks, and third-party software.

Specific warranties, acceptance procedures, testing requirements, maintenance obligations, support obligations, and service levels will be governed by the applicable client agreement.

Information describing software capabilities on our public website does not constitute a guarantee that a particular technology or solution will be appropriate for every environment.

  • advertising;
  • consumer protection;
  • intellectual property;
  • data retention;
  • security;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOLD ARRAY LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO USE OF OUR PUBLIC WEBSITE OR FREE INFORMATION MADE AVAILABLE THROUGH IT.

THIS INCLUDES LOSS OF:

Liability associated with professional services provided under a separate agreement will instead be governed by that agreement.

27. Indemnification

The remaining provisions will remain in effect.

You may not assign or transfer your rights under these Terms without our prior written consent.

Bold Array may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, corporate reorganization, or similar transaction.
